Terms and Conditions

Last updated: September 28, 2026

1. Agreement to These Terms

These Terms and Conditions govern your use of ledgerpactinc.com and services provided by Ledger Pact Inc. By using this website, requesting a quote, approving a proposal, or purchasing services from us, you agree to these Terms and any written proposal, statement of work, invoice, or project agreement that applies to your project.

2. Our Services

Ledger Pact Inc. provides creative, technical, and digital services that may include logo design, branding, web design and development, e-commerce development, mobile app development, SEO, social media marketing, content creation, digital consulting, and related services. The exact deliverables, scope, timeline, fees, and revision terms for a project will be described in the applicable proposal, invoice, order confirmation, or other written agreement.

3. Quotes, Scope, and Project Changes

Quotes are based on the information available when they are prepared. Requests that add features, pages, integrations, content, revisions, platforms, or other work beyond the agreed scope may require a revised quote, additional fees, or a revised delivery schedule. We will communicate material scope changes before proceeding where reasonably practical.

4. Client Responsibilities

You agree to provide accurate project information, timely feedback, required access, content, logos, images, credentials, approvals, and other materials reasonably needed to perform the services. Delays in receiving required information or approvals may affect timelines. You are responsible for ensuring that materials you provide to us can lawfully be used for the project.

5. Fees and Payments

Fees, deposits, milestones, recurring charges, and payment schedules will be stated in the applicable proposal, invoice, or written project agreement. Unless otherwise agreed in writing, work may be scheduled or continued after required payments are received. Third-party costs such as domain registration, hosting, premium themes or plugins, stock assets, app-store fees, advertising spend, payment-gateway charges, or other external services may be billed separately when applicable.

6. Revisions and Approvals

Included revisions, if any, are limited to the number or scope described in the applicable project agreement. A revision is a reasonable adjustment to agreed work and does not include a new concept, new feature set, new platform, or substantial change in direction unless agreed separately. Client approval of a stage or deliverable may be treated as authorization to proceed to the next stage.

7. Timelines and Delivery

Any delivery date is based on the agreed scope and timely client cooperation. Dates may change because of client delays, scope changes, third-party services, technical dependencies, events outside our reasonable control, or other project-specific circumstances. We will make reasonable efforts to communicate material schedule changes.

8. Cancellations and Refunds

Because our services involve time, labor, planning, design, development, and other project-specific work, refund eligibility depends on the stage of work completed, amounts already earned, non-refundable third-party costs, and the terms of the applicable proposal or project agreement. Unless a written agreement states otherwise, completed work, approved milestones, work already performed, and third-party costs are non-refundable. If a project is cancelled before all work is completed, any refund that may be due will be calculated after deducting work performed and applicable committed costs.

9. Intellectual Property

Ownership of final custom deliverables will be governed by the applicable project agreement. Unless otherwise agreed in writing, transfer of rights in final approved custom work occurs after full payment of all amounts due for that work. Ledger Pact Inc. and its licensors retain ownership of pre-existing tools, code libraries, frameworks, templates, processes, know-how, licensed assets, and other materials that were not created exclusively for the client. Third-party assets remain subject to their respective licenses.

10. Client-Supplied and Third-Party Materials

You represent that you have the necessary rights or permissions for any text, images, logos, trademarks, data, software, credentials, or other materials you provide. We may use third-party platforms, software, plugins, APIs, hosting providers, payment gateways, advertising platforms, app stores, stock assets, or other services when appropriate. Their availability, policies, performance, fees, and decisions are outside our direct control and are subject to their own terms.

11. SEO, Advertising, and Performance

SEO, social media, advertising, web, e-commerce, and app performance can be affected by many factors outside our control, including search-engine algorithms, advertising-platform policies, competition, budgets, market conditions, third-party systems, user behavior, and client implementation decisions. We do not guarantee specific search rankings, traffic levels, leads, sales, approval by a third-party platform, or other specific business results. Any project-specific objectives or deliverables will be described in the applicable written agreement.

12. Website and Service Availability

We aim to keep our website and services reasonably available, but uninterrupted or error-free operation is not guaranteed. Maintenance, hosting issues, internet outages, security events, third-party failures, or other circumstances may temporarily affect availability.

13. Acceptable Use

You may not use this website or our services for unlawful, fraudulent, infringing, abusive, malicious, deceptive, or unauthorized purposes. You may not attempt to interfere with website security, gain unauthorized access to systems, distribute malware, misuse forms, or violate the intellectual-property or privacy rights of others.

14. Confidentiality

Where a project involves confidential business information, each party should use reasonable care to protect confidential information received from the other and use it only for legitimate project purposes, subject to any separate confidentiality agreement and applicable law.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the website and services are provided on an "as available" basis except for any express commitments stated in an applicable written project agreement. We disclaim warranties that cannot reasonably apply to project-specific services, including implied warranties to the extent permitted by law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Ledger Pact Inc. will not be liable for indirect, incidental, special, punitive, or consequential damages, or for losses caused by third-party platforms or services outside our reasonable control. Nothing in these Terms excludes liability that cannot lawfully be excluded.

17. Email and Mobile Communications

By providing your contact information, you authorize us to contact you about your inquiry, quote, project, account, support request, and related service matters. Where permitted by law, we may also send marketing communications. Standard carrier messaging and data rates may apply to SMS communications. You may request to stop marketing messages at any time by using an unsubscribe option where provided, replying STOP to eligible SMS messages, or contacting us.

18. Privacy

Our collection and use of personal information is described in our Privacy Policy.

19. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this website with an updated date. Changes do not alter an existing signed project agreement unless the parties agree otherwise.
